Terms of Service

Welcome to Pilotly. These Terms of Service (“Terms”) govern your access to and use of the Pilotly application and website (the “Service”), operated by VitalTronic LLC, a limited liability company organized in the United States (“Pilotly,” “VitalTronic,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.

1. Description of the Service

Pilotly is a marketing automation tool that connects to your Shopify store and your Meta Ads account(s). Based on profitability metrics, sales data, and ad spend, Pilotly can automatically scale, pause, or adjust advertising campaign budgets according to the rules you configure.

2. Accounts and Access

To use Pilotly, you must create an account by logging in with Facebook, Google, Shopify, or a one-time passcode (OTP) sent to your email. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3. Connecting Third-Party Accounts (Meta and Shopify)

By connecting your Meta Ads account and/or your Shopify store, you authorize Pilotly to access, via the official Meta and Shopify APIs, data such as campaigns, ad spend, performance metrics, orders, products, and revenue, solely to calculate your profitability and execute the automated actions you configure. You may revoke this access at any time from your Meta account settings, your Shopify admin, or the Pilotly dashboard.

Pilotly does not control the policies, availability, or changes made to the Meta or Shopify APIs, and is not responsible for Service interruptions resulting from changes made by those third parties.

4. Automated Nature of the Service

Decisions to pause, scale, or modify advertising budgets are executed automatically based on the rules and thresholds you define. Pilotly does not guarantee any specific results in profitability, sales, or advertising performance. You remain solely responsible for reviewing and validating your campaign and budget configuration.

5. Subscriptions and Payment

Access to Pilotly may require payment of a recurring subscription fee. Payments are processed through a third-party payment processor; Pilotly does not store your full card details.

Billing and renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected) unless canceled before the renewal date.

Refund policy. Except where required by applicable law, all fees are non-refundable, including partial subscription periods, unused features, and downgrades made mid-cycle. If you cancel, you will retain access to the Service through the end of your current paid billing period, and your subscription will not renew afterward. We do not provide prorated refunds for early cancellation.

6. Acceptable Use

You may not use Pilotly for unlawful activities, to violate Meta’s or Shopify’s terms, to attempt unauthorized access to third-party systems, or to interfere with the operation of the Service.

7. Intellectual Property

All software, branding, design, and content of Pilotly are the property of VitalTronic LLC. No license is granted other than what is necessary for your normal use of the Service.

8. Limitation of Liability

The Service is provided “as is.” To the maximum extent permitted by law, we will not be liable for lost profits, sales, or data arising from use of the Service, including as a result of automated advertising budget decisions.

9. Suspension and Termination

We may suspend or terminate your account for violation of these Terms, misuse of the Meta or Shopify APIs, or non-payment. You may cancel your account at any time from the app or by contacting support@pilotlyapp.com.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or within the Service.

11. Governing Law

These Terms are governed by the laws of the United States, without prejudice to any consumer protection rights you may have under the laws of your country of residence.
